Terms and conditions for events - USA

By registering for a marketing and promotional conference, the registering person or entity agree to be bound by these terms and conditions.

Event Terms

By registering for a marketing and promotional conference, session, presentation, and other similar event (“Event”), the registering person or entity ("You," "Your" or the "Participant") agree to be bound by these terms and conditions and all other terms and conditions included on the Event website or referenced herein (collectively, the "Terms"). These Terms will apply to Participant's employees, agents, consultants, directors, or any other persons attending the Event and the Participant will be responsible for their compliance with these Terms. The Event is presented and organized by Siemens Industry Software Inc. and/or its affiliates (“Siemens Industry Software”).

Registration Fees (when applicable)

The registration fee is listed on the Event website and includes the activities and benefits expressly listed as part of the Event package chosen by You. Anything not expressly listed as part of the chosen package is not included in the registration fee and is the exclusive responsibility of the Participant, including but not limited to, travel costs and expenses and any accommodations not booked through Siemens Industry Software. All prices are exclusive of any taxes and fees. You agree to pay or reimburse Siemens Industry Software for the payment of any applicable taxes or fees including, but not limited to, sales tax, value-added tax, goods and services tax, and consumption tax. You will make all payments without reduction for any withholding or other taxes; any such taxes imposed on payments by You will be Your sole responsibility.

Payments

Payment in full of any applicable fees for the Event is due upon registration. If such payment is insufficient or declined for any reason, Siemens Industry Software may refuse entry to the Event. Participants will pay all registration fees and any other applicable fees for the Event online by credit card through Siemens Industry Software's third-party payment portal. Additional terms and conditions may apply to those payments.

Confirmation of Registration

You will be registered for an Event when You receive confirmation that Your registration has been processed and Siemens Industry Software has received payment by credit card. Siemens Industry Software is not responsible if You fail to receive confirmation because You have supplied an incorrect e-mail or postal address. If You do not obtain a confirmation, please contact Siemens Industry Software using the method stated in the Contact section below.    

Cancellations

Siemens Industry Software reserves the right to defer or cancel the Event for any reason, including if there are insufficient bookings or due to conditions arising beyond our control. In such cases, Siemens Industry Software will reschedule the Event to an alternative date and/or provide You with a full refund. Cancellation requests by the Participant must be received in writing by email using the method stated in the Contact section below.

Refunds

Cancellation by the Participant will be subject to cancellation charges as follows:

Upon cancellation by email at least 60 days before the Conference, Siemens Digital Industries Software will refund Your entire Conference registration fee. Upon cancellation by email at least 30 days before the Conference, Siemens Digital Industries Software will refund 50% of Your Conference registration fee. For cancellations less than 30 days before the Conference, no registration fee will be refunded.

Badge Beacon Technology and/or Scanning (when applicable)

Your badge (where applicable) serves as a virtual business card and is encoded with the demographic information (name and contact information) you provided during registration. You may opt-in to having your badge equipped with beacon technology that eliminates the need to verify your attendance, simplifies the count process, enhances your visitor experience and allows Siemens PLM Software to gather data to improve future meetings.

Changes

Siemens Industry Software reserves the right to cancel, postpone, or make changes to the Event or any sessions or other aspects of an Event. Content or speakers of Event sessions may be subject to change at any time.

Siemens Industry Software reserves the right to exclude any Participant from the Event, including instances in which a Participant is not in compliance with these Terms. 

Attendance Requirements

In connection with the Event, You agree to (a) observe the rules, policies and procedures of the Event, including in relation to health and safety and any reasonable instructions issued by Siemens Industry Software and/or the Event Venue; (b) behave in a respectful, professional and appropriate way that does not breach any and all applicable laws and regulations or that risks damaging the reputation of the Event, Siemens Industry Software and/or the Event Venue; (c) ensure You have adequate insurance for Your own requirements, including personal accident and travel insurance, prior to attending the Event; and (d) ensure You have all necessary travel documentation, including but not limited to visas and other entry permits into the country where the Event is held, and that You comply with all applicable health-related and entry requirements.

Recording/Use Rights

Your attendance at the Event constitutes your agreement and acceptance that Siemens Industry Software may record persons and events, and/or may hire third parties to record person and/or events on its behalf, throughout the Event. Such recordings may be made by any means including, without limitation, electronic recording, film, videotape, audio tape and photography ("Recordings"). By attending the Event, You agree that Siemens Industry Software and its authorized designees, including its subsidiaries, resellers, distributors, partners, affiliates and alliances (collectively, "Users") have the right to use any and all names, likenesses, voices, quotes and biographical information in connection with the exploitation of the Recordings, in whole or in part, by any and all methods now known or hereinafter developed, solely for the Users' business purposes. You further agree that the Users will not require any additional permissions from and/or payments to you or any third party on your behalf in connection with such use. Participant will not receive any rights or ownership to Recording. You hereby waive any and all moral rights, rights of publicity, privacy rights, and rights against the Users in connection with their use of the Recordings. 

Privacy

During the course of processing your registration for an Event and/or Your participation at the Event, Siemens Industry Software and/or its vendors may collect, store and transfer your personally identifiable information such as Your name, address, and contact information, as well as any hotel or travel requests you provide during registration. This information is required for the facilitation of Event-related services. In all cases, Siemens Industry Software will use and protect Your personally identifiable information in accordance with its Privacy Policy, which can be accessed here: https://www.sw.siemens.com/en-US/privacy-policy/.

Rights in Material

All copyright and other rights in materials provided to You during or for the purposes of the Event are the property of Siemens Industry Software or its licensors. You are entitled to use such materials only for Your own personal use. You are not entitled to copy such materials (except as permitted by law) nor are You entitled to use or authorize others to use them for any commercial purposes. Siemens Industry Software does not warrant or guarantee that the referenced products, processes or other names are free from third-party rights.

Assumption of Risk, Release of Claims, and Liability

You acknowledge and agree that your attendance and participation in the Event is voluntary, and you understand the nature of the Event. To the maximum extent permitted by law, You agree that You solely assume the risks associated with attending and participating in the Event.

To the maximum extent permitted by law, You (for Yourself, Your directors, officers, employees, contractors, representatives, agents, successors and assigns) hereby release Siemens Industry Software and its affiliates, and their respective directors, officers, employees, contractors, insurers, representatives, agents, successors and assigns (collectively, "Releasees"), from any and all claims, demands, causes of action, suits, damages, losses, debts, liabilities, costs and expenses (including without limitation reasonable attorneys' fees and costs) that you may have now or in the future associated in any way with the Event or the Recordings.

RELEASEES WILL NOT BE LIABLE TO YOU UNDER ANY CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, FOR (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR (B) LOST PROFITS, REVENUES, CUSTOMERS, OPPORTUNITIES, OR GOODWILL. IN ANY CASE, OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE RELEVANT REGISTRATION FEE PAID BY YOU. THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. Additionally, Siemens Industry Software will not be liable for the correctness of any training content, any advice given or the utilization of any knowledge acquired during the Event.

You agree to protect and hold harmless the Releasees, the Event venue, and Siemens Industry Software's other partners associated with the Event from any and all claims which may arise from Your participation in or attendance at the Event, except to the extent those claims are caused by Siemens Industry Software's negligence or intentional misconduct. 

Applicable Law

These Terms are governed by the laws of Germany without regard to conflict of laws principles thereof. You irrevocably (a) consent to the jurisdiction of the courts of Cologne, Germany for any action arising out of or relating hereto or thereto, (b) agree that all claims in respect of such action or proceeding may be heard and determined in any such court, (c) waive any claim of inconvenient forum or other challenge to venue in such court, and (d) agree not to bring any action or proceeding in any other court. The application of the United Nations Convention on Contracts for the International Sales of Goods (CISG) of 11 April 1980 is excluded. 

Force Majeure

Siemens Industry Software will not be liable for any default or delay in the performance of its obligations, to the extent that such default or delay is caused, directly or indirectly, by an event beyond the reasonable control of Siemens Industry Software such as, but not limited to fire, flood, earthquake, elements of nature, acts or regulations of government bodies, court orders, acts of war, terrorism, riots, civil disorders, rebellions or revolutions, strikes, lockouts or labor difficulties. Such event or circumstance giving rise to the default or delay is a Force Majeure Event.

No Waiver, Validity and Enforceability

The failure to enforce any provision of these Terms will not be construed as a waiver of such provision. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions will not be affected, and such provision will be deemed to be restated to reflect the original intentions of the parties as nearly as possible in accordance with applicable law. 

Export Compliance

Siemens Industry Software's obligation to fulfill its commitments under this Agreement is subject to the proviso that it is not prevented by any impediments arising from national or international foreign trade or customs requirements, including embargoes or other sanctions. You agree to comply fully with all applicable national and international export and re-export control regulations including, but not limited to, those of the Federal Republic of Germany, of the European Union, of the United States of America and regulations of any other country or jurisdiction which may apply.

Entire Agreement

These Terms are the entire agreement between you and us regarding the subject matter of these Terms. These Terms supersede all prior or contemporaneous representations, understandings, agreements, or communications between you and us, whether written or verbal, regarding the subject matter of these Terms. Any changes to the Terms must be made in writing signed by authorized representatives of Participant and Siemens Industry Software. Siemens Industry Software will not be bound by, and specifically object to, any term, condition, or other provision that is different from or in addition to the provisions of these Terms (whether or not it would materially alter these Terms). If we provide a translation of the English version of these Terms, the English version of these Terms will control if there is any conflict.
